Introduction and Acceptance

Welcome to COURA ONE (the "Platform"). This platform is developed and operated by ACF Solutions ("ACF", "we", "us", or "our"), software developers based in the Philippines.

These Terms and Conditions of Use ("Terms") govern your access to and use of the COURA ONE Platform as a player or end-user ("you" or "Player"). COURA ONE is a court management system made available to you by the pickleball court facility you are visiting, joining, or booking through (the "Facility").

By creating an account, making a booking, joining an open play session, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Platform.

By clicking "Create Account," "Book," "Join," "Accept," or any similar button or checkbox within the Platform, you acknowledge that such electronic action constitutes your valid electronic consent and agreement to these Terms pursuant to applicable electronic commerce laws.

These Terms apply to you as a player using the Platform to browse, reserve, join, and manage court bookings and open play activities. They do not govern the relationship between ACF and the Facility operators, which is separately covered by a Subscription Agreement.

About the COURA ONE Platform

COURA ONE is a web-based court management platform that allows players to:

View available pickleball courts and court schedules
Create and manage court booking reservations
Join, organize, and participate in open play sessions and other player activities
Manage your player profile and membership information
View your booking history, open play activity, and account activity
Make payments for court reservations or other Facility services (where applicable)

The Platform is made available to you through the Facility you are associated with. The availability of specific features may vary depending on the Facility's configuration and subscription plan.

ACF is solely a technology platform provider and is not a party to any agreement, transaction, or arrangement between players and Facilities relating to court reservations, open play sessions, memberships, payments, or use of the premises.

ACF reserves the right to update, modify, suspend, or discontinue any feature of the Platform at any time. Where practicable, notice of significant changes will be provided through the Platform or via your registered email address.

Player Account Registration

Creating Your Account

To use the Platform as a player, you will need to create an account by providing accurate and complete information, including your full name, contact number, and email address. You represent and warrant that all information you provide during registration is true, current, and accurate.

You agree to promptly update your account information if any details change. ACF and the Facility shall not be held responsible for any issues arising from inaccurate or outdated information provided by you.

Account Security

You are responsible for keeping your login credentials secure. You agree to:

Not share your username or password with any other person
Log out of your account after each session, especially on shared devices
Immediately notify the Facility or ACF if you suspect unauthorized access to your account

ACF shall not be liable for any loss or unauthorized activity resulting from your failure to secure your account credentials.

Player Eligibility

COURA ONE is open to players of all ages. For players who are minors (below eighteen (18) years of age), a parent or legal guardian must register the account on their behalf and shall be responsible for all activity conducted under that account, including compliance with these Terms and any applicable Facility rules.

One Account Per Player

Creating multiple accounts to circumvent restrictions or gain unfair advantage is prohibited and may result in suspension or termination of all associated accounts.

Court Bookings and Open Play Reservations

Making a Booking or Joining Open Play

You may book available courts or join available open play sessions through the Platform subject to the schedule, availability, and participation rules set by the Facility. By completing a booking or joining an open play session, you confirm that you intend to participate at the scheduled date and time.

Booking and Participation Confirmation

A booking or open play reservation is considered confirmed only upon receipt of a confirmation notification through the Platform or via your registered email address. ACF does not guarantee availability until a confirmation notification is issued.

Cancellations and Rescheduling

Cancellation and rescheduling policies are set by the Facility and may vary. Please review the Facility's specific cancellation policy before making a booking or joining an open play session. ACF is not responsible for any fees, penalties, or forfeiture of payment resulting from cancellations or no-shows in accordance with the Facility's policies.

If your account is suspended or terminated while you have active upcoming bookings or open play reservations, the Facility shall be responsible for determining whether a refund or rebooking is appropriate. ACF shall not be liable for any loss of bookings, reservations, or payments resulting from account suspension or termination.

Player Conduct at the Facility

By booking a court or participating in open play, you agree to comply with all rules, regulations, and house policies of the Facility. You are expected to:

Arrive at or before your scheduled booking or open play session
Vacate the court promptly at the end of your reserved session
Treat facility staff, other players, and equipment with respect
Follow all safety guidelines and court etiquette as prescribed by the Facility

Violation of Facility rules may result in cancellation of your booking or participation, removal from the premises, and suspension or termination of your account on the Platform.

Assumption of Risk and Physical Activity Waiver

You acknowledge and agree that participation in pickleball, open play sessions, and other physical activities at the Facility involves inherent risks, including but not limited to physical injury, muscle strain, falls, collisions with other players or equipment, and other accidents that may occur during play.

By using the COURA ONE Platform to book a court, join open play sessions, and participate in activities at the Facility, you voluntarily assume all such risks and agree that:

You are physically capable of participating in the activity you are booking or joining
You will inform the Facility of any medical condition or physical limitation that may affect your participation
You will follow all safety instructions and guidelines provided by the Facility
ACF, as a technology platform provider, bears no responsibility for any injury, accident, or harm that occurs at the Facility during your visit

ACF is not the operator of the Facility and has no control over the physical conditions, maintenance, staffing, or safety standards of any court or venue. All liability for on-site incidents rests solely with the Facility.

Payments and Fees

Where the Platform is configured to accept payments for court reservations, open play participation, or other Facility services, the following terms apply:

All fees and payment amounts are set by the Facility, not by ACF
Payments made through the Platform are processed in Philippine Peso (PHP), unless otherwise specified by the Facility
ACF does not store your full payment card or account details. Payment processing is handled through third-party payment providers, and your use of such services is also subject to their respective terms and privacy policies
If a payment fails or is not successfully processed, your booking or reservation will not be confirmed until payment is completed. ACF is not liable for any loss of availability due to a failed payment
Refunds, if any, are subject to the Facility's refund and cancellation policy
Any refund approved by the Facility may be facilitated through the Platform or third-party payment provider for convenience purposes only. ACF does not independently determine refund eligibility and shall not be liable for any refund disputes between players and Facilities
In the event of a payment dispute, you agree to first contact the Facility and, if unresolved, ACF support before initiating any chargeback or third-party dispute process

Acceptable Use

You agree to use the Platform only for its intended purpose of managing and enjoying your pickleball court and open play experience. You shall not:

Provide false, misleading, or fraudulent information during registration or when making a booking
Make bookings or reservations you do not intend to use or engage in booking manipulation that prevents other players from accessing court time or open play participation
Use the Platform to harass, threaten, or harm other players or Facility staff
Post, upload, or share reviews, comments, or content that is false, defamatory, offensive, or violates the rights of others
Attempt to gain unauthorized access to other users' accounts or any restricted part of the Platform
Upload, transmit, or share any unlawful, harmful, offensive, or infringing content through the Platform
Use the Platform for any purpose contrary to law, public order, public policy, morals, or good customs
Attempt to reverse-engineer, decompile, or interfere with the Platform's software or infrastructure

ACF reserves the right to investigate suspicious activity, fraudulent bookings, abuse of promotions, automated access, scraping, or any activity that may disrupt the Platform or unfairly affect other users.

Any violation of this Acceptable Use policy may result in the immediate suspension or permanent termination of your account, without prejudice to any legal remedies available to ACF or the Facility.

User-Generated Content

The Platform may allow players to submit ratings, reviews, feedback, comments, or other content relating to their court, open play, or Facility experience ("User Content"). By submitting User Content, you:

Represent that the content is accurate, honest, and based on your genuine experience
Grant ACF a non-exclusive, royalty-free, perpetual, and worldwide license to use, display, reproduce, moderate, and distribute such content within the Platform for service improvement and operational purposes
Acknowledge that ACF reserves the right to remove, edit, or decline to publish any User Content that violates these Terms, is deemed inappropriate, or is otherwise harmful to other users or the Platform

ACF does not endorse any User Content submitted by players and shall not be liable for the accuracy or reliability of any review or feedback posted on the Platform.

Communications and Notifications

By registering an account on the Platform, you consent to receive the following communications from ACF and the Facility:

Transactional messages — including booking confirmations, open play confirmations, reminders, cancellation notices, and payment receipts, which are necessary for the operation of the Platform and cannot be opted out of while your account is active
Service notifications — including updates to these Terms, changes to the Platform, and security alerts
Promotional or marketing messages — including news, offers, tournaments, events, and announcements from ACF or the Facility, from which you may opt out at any time by following the unsubscribe instructions in the message or by contacting ACF support

ACF will not sell or share your contact information with unaffiliated third parties for their own marketing purposes. All communications are subject to our Privacy Policy.

Your Privacy

ACF takes the privacy and security of your personal information seriously. By using the Platform, you consent to the collection and processing of your personal data as described in our Privacy Policy, which forms an integral part of these Terms.

By creating an account and using the Platform, you expressly consent to the collection, storage, processing, and sharing of your personal data with the Facility and authorized service providers as necessary for the operation of the Platform, in accordance with the Privacy Policy and applicable data privacy laws.

In summary, the personal information you provide — such as your name, contact details, booking history, open play participation history, and payment records — is used to operate the Platform, send you booking confirmations and service communications, manage your account, and improve your experience. Your data is processed in compliance with Republic Act No. 10173, otherwise known as the Data Privacy Act of 2012.

Third-Party Services and Links

The Platform may integrate with or contain links to third-party services, applications, or websites, including payment gateways and other service providers ("Third-Party Services"). These Third-Party Services are not owned or controlled by ACF, and their use is governed by their own terms of service and privacy policies.

ACF does not endorse, warrant, or assume any responsibility for the content, accuracy, availability, or practices of any Third-Party Services. Your interaction with Third-Party Services is entirely at your own risk, and any issues arising from such interactions should be directed to the relevant third-party provider.

You are encouraged to review the terms and privacy policies of any Third-Party Service before providing your personal or payment information.

Intellectual Property

The COURA ONE Platform, including its software, design, interface, logos, trademarks, graphics, features, and all content developed by ACF, is the exclusive intellectual property of ACF Solutions. You are granted a limited, personal, non-transferable, non-exclusive, and revocable right to access and use the Platform solely for the purpose of managing your bookings, open play participation, and player activity.

You may not copy, reproduce, modify, distribute, publicly display, create derivative works from, reverse-engineer, or otherwise exploit any portion of the Platform without the prior written consent of ACF.

Disclaimers and Limitation of Liability

Platform Provided "As Is"

The COURA ONE Platform is provided on an "as is" and "as available" basis. While ACF endeavors to maintain Platform reliability and availability, we do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from technical issues. Scheduled maintenance, connectivity disruptions, and other circumstances beyond ACF's control may affect availability.

To the fullest extent permitted by law, ACF disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Facility Policies and Operations

ACF is a technology provider and is not responsible for the operations, policies, conduct, staffing, maintenance, decisions, or services of any Facility. Any disputes regarding court conditions, open play activities, Facility rules, cancellations, refunds, memberships, or player conduct are solely between you and the Facility.

Limitation of Liability

To the fullest extent permitted by law, ACF shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of or inability to use the Platform, including but not limited to lost bookings, missed sessions, payment disputes, loss of data, disputes with the Facility, or interruptions in service, even if ACF has been advised of the possibility of such damages.

To the fullest extent permitted by law, ACF's total aggregate liability arising from or relating to the Platform shall not exceed the total amount paid by the Player through the Platform during the three (3) months immediately preceding the event giving rise to the claim, or Five Thousand Philippine Pesos (PHP 5,000.00), whichever is lower.

Force Majeure

ACF shall not be liable for any delay, interruption, or failure in the availability or performance of the Platform caused by events beyond its reasonable control, including but not limited to:

Natural calamities such as typhoons, earthquakes, floods, or other acts of God
Power outages or interruptions in internet or telecommunications services
Government-imposed restrictions, quarantines, or emergency declarations
Epidemics, pandemics, or public health emergencies
Civil unrest, war, labor disputes, or other force majeure events
Failures of third-party infrastructure or service providers beyond ACF's control

In the event of a force majeure occurrence, ACF shall make reasonable efforts to restore Platform availability as soon as practicable and shall notify users of significant disruptions through available channels.

Account Suspension and Termination

ACF or the Facility may suspend, restrict, or terminate your access to the Platform if you:

Violate these Terms or the Facility's house rules
Provide false, misleading, or fraudulent information
Engage in conduct harmful to other players, Facility staff, or the integrity of the Platform
Repeatedly fail to honor confirmed bookings or open play reservations without valid cancellation
Engage in abusive, disruptive, illegal, or fraudulent activity on or through the Platform

If your account is suspended or terminated, any pending or upcoming bookings, reservations, or open play participation will be handled in accordance with the Facility's policies. You should contact the Facility directly for any refund or rebooking arrangements. ACF shall not be liable for any loss of bookings, reservations, participation rights, or payments resulting from account suspension or termination.

You may also deactivate your account at any time by contacting the Facility or ACF support. Upon termination, your right to access the Platform and your booking history may cease, subject to any data retention requirements under applicable law.

Changes to These Terms

ACF may update or revise these Terms from time to time to reflect changes in the Platform, applicable laws, industry standards, or our operational practices. You will be notified of material changes through the Platform or via your registered email address.

Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically so you remain informed of the conditions governing your use of the Platform.

Dispute Resolution and Governing Law

Informal Resolution

In the event of any dispute, concern, or claim arising from your use of the Platform or these Terms, we encourage you to first contact ACF through the channels listed in these Terms. ACF will make reasonable efforts to resolve your concern informally within fifteen (15) days from receipt of your written notice.

Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Should mediation fail to resolve the dispute, any and all actions arising from or relating to these Terms shall be brought exclusively before the proper courts of Bacolod City, Negros Occidental, Philippines, to the exclusion of all other venues.

Severability

If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

Waiver

Failure by ACF to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and applicable Facility rules and policies, constitute the entire agreement between you and ACF regarding your use of the Platform and supersede any prior understandings, communications, representations, or agreements relating thereto.
